TERM AND MATERIAL DATES

We will set a general timeline for each project, however this is subject to change depending on various reason. After project kick-off the work is ongoing until completed and subject to termination under Project Termination - see below.

PROJECT SPECIFICATIONS

Each project will contain a set of deliverables. Please refer to your packages document provided to you. If you need any extra deliverables outside of those outlined, we will quote accordingly.

PAYMENT, EXPENSES, AND DELIVERABLES

(a) Payment Terms. The Designer will quote on a project by project basis. Of this, the Client will pay the Designer a deposit of 50% before work begins and the remaining amount prior project completion. (Deposit is non-refundable) 

(b) Additional Expenses. In some cases, a brand or website project may require additional features. For example, stock photos, font files, plugins or additional software to integrate into your website. The Client will be required to cover any additional costs outside of the project scope. Some of these options arise during the project in which case we will discuss the options, though ultimately it is up to The Client to manage any additional software, plugins, integrations or Client Management Systems.

OWNERSHIP AND RIGHTS

(a) Ownership. The Client Owns All Work Product. 

(b) Permitted Use By Designer. Once the Designer gives the work product to the Client and is paid in full, the Designer will only have rights to the work outlined here: The Client gives the Designer permission to use the work product as part of the Designer’s portfolio and websites, in galleries, and in other media, so long as it is to showcase the Designer’s work and not for any other purpose. The Designer is not allowed to sell or otherwise use the work product to make money or for any other commercial use. The Client is not allowed to take back this license.

(c) Credit to the Designer. The Client is under no obligation to give credit to the Designer each time it publishes the work product.

CONFIDENTIAL INFORMATION

The Designer agrees to keep the Confidential Information provided to it or obtained by it pursuant to or as a result of this Agreement strictly confidential and not to disclose or divulge the same to any other person or entity except if disclosure is required by law.

Both the Client and the Designer agree to keep Confidential Information relating to a Third-Party provided or obtained as a result of this Agreement strictly confidential and not to disclose or divulge the same to any other person or entity except if disclosure if required by law.

PROJECT TERMINATION

If The Client wishes to terminate the project for any reason with a 7 day written notice, The Client must pay the Designer for the work completed to date. (50% Deposit is non-refundable).
